1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the websites owned and operated by Industrial Maintenance Solutions Inc. and its affiliates, including but not limited to Creative Maintenance Solutions LLC and Spider Digital Group (also doing business as Ian Ciamarra LLC) (collectively, "We," "Us," or "Our"). These Terms apply to all users ("Users") of our websites, including but not limited to imsolutionsva.com and imsbelzona.com (the "Websites").

By accessing or using our Websites, you agree to be bound by these Terms in their entirety. If you do not agree, you must immediately discontinue your use of the Websites.

By accessing or using the Websites, Users affirm that they have read, understood, and agreed to these Terms, which constitute a legally binding agreement between the User and Us.

We reserve the right to revise these Terms at any time without prior notice. Any modifications are effective immediately upon posting. Continued use of the Websites signifies your acceptance of the updated Terms.

4. User Conduct

Users agree to use the Websites only for lawful purposes. Prohibited conduct includes, but is not limited to:

We reserve the right to monitor use and terminate access for violations.

To the fullest extent permitted by law, Industrial Maintenance Solutions Inc., its affiliates, directors, officers, employees, agents, and licensors disclaim all liability for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Websites.

We expressly disclaim any liability for third-party integrations, tools, plugins, or services including, but not limited to, issues related to cookie consent, data tracking, copyright or trademark compliance, or user-generated content. Users are solely responsible for ensuring their own legal compliance with all applicable data protection and intellectual property laws.

7. Indemnification

Users agree to indemnify, defend, and hold harmless Industrial Maintenance Solutions Inc., its affiliates, employees, officers, directors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from their use of the Websites or any breach of these Terms.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the Commonwealth of Virginia, without regard to conflict of laws principles. All legal proceedings must be brought in a court of competent jurisdiction located in Virginia, and you consent to such jurisdiction and venue.

9. Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms shall be resolved by binding arbitration conducted by the American Arbitration Association. The arbitration shall take place in Virginia. Each party waives the right to a jury trial and agrees to bring claims only in their individual capacity, and not as a class member in any purported class or representative proceeding.

10. Counterclaims

In the event a User initiates legal action against Us and we prevail, we reserve the right to file counterclaims or seek reimbursement for legal fees, court costs, and any damages incurred as a result of that legal action.

11. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions will remain valid and enforceable.

12. Waiver

No waiver of any term or right in these Terms shall be deemed a continuing waiver or a waiver of any other term or right.

13. Entire Agreement

These Terms constitute the entire agreement between the User and Industrial Maintenance Solutions Inc. with respect to the Websites and supersede any prior or contemporaneous communications, whether oral or written.
